Effective June 1, 2024. These Terms govern how you access and use the Vertali Media platform, including automated moderation safeguards designed to promote healthy viewing.

Service Agreement

Vertali Media grants you a limited, revocable, non-exclusive, and non-transferable license to access and use our curated content discovery tools for personal, non-commercial purposes. All media assets, software, and data feeds remain our intellectual property.

All media assets, software, and data feeds remain the intellectual property of Vertali Media or its licensors. No rights are granted by implication.

2. Acceptable Use & Automated Moderation

You agree to use Vertali Media responsibly and in accordance with applicable laws. You must not interfere with platform security, attempt to override access limits, or misuse API data. Consistent with the health advisory controls described in our Health & Wellness Guidelines, Vertali Media deploys automated allocation and moderation systems that analyze historical viewing behavior to enforce reasonable usage thresholds, cooldown periods, and content availability windows. Continued use constitutes consent to these safeguards and to the processing of engagement signals described in our privacy commitments.

We may suspend or terminate access if automated or manual reviews detect harmful conduct, excessive usage that compromises wellness objectives, or other violations of these Terms.

3. User Accounts & Credentials

You must provide accurate registration information, maintain the confidentiality of login credentials, and promptly notify Vertali Media of unauthorized use. Account activity is attributed to the credential holder. Vertali Media may require multi-factor or adaptive authentication when risk signals are detected by our moderation tooling.

4. Service Changes & Availability

Vertali Media may update, suspend, or discontinue any feature, data feed, or access tier at any time to preserve platform integrity, comply with partner obligations, or respond to health-focused moderation outputs. Where feasible, we will provide advance notice through in-product banners, email alerts, or administrative dashboards.

5. Disclaimers & Warranties

The platform is provided on an “as is” and “as available” basis. Vertali Media disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted availability, future catalog listings, or the accuracy of third-party metadata.

6. Limitation of Liability

To the maximum extent permitted by law, Vertali Media and its affiliates are not liable for indirect, incidental, special, consequential, or exemplary damages arising from your use of the service. Our aggregate liability for direct damages is limited to the greater of USD $50 or the amount you paid to Vertali Media for access in the twelve (12) months preceding the claim.

7. Dispute Resolution

Any dispute will first be addressed through good-faith negotiations within thirty (30) days of written notice. If unresolved, disputes shall be submitted to binding arbitration administered by the American Arbitration Association in Fulton County, Georgia, unless your local law requires a different forum. Either party may seek injunctive relief in court to protect intellectual property or moderation systems.

8. Notices & Contact

Formal notices to Vertali Media must be sent to 1230 Peachtree Street NE, Suite 1900, Atlanta, GA 30309, USA, with a concurrent copy to legal@vertali.media. We may deliver notices to you via email, in-product messaging, administrative dashboards, or other channels associated with your account. Notices regarding automated moderation adjustments will specify the effective date, applicable safeguards, and available appeal process, aligning with the wellness protocols outlined in our Health Advisory.

9. Updates to These Terms

We may revise these Terms periodically. Material updates will be announced at least seven (7) days before taking effect. Continued use after the effective date constitutes acceptance of the updated Terms.

Interpretation & Governance Principles

These Terms operate as the binding contractual framework through which Vertali Media delivers, moderates, and sustains its platform. They are interpreted in harmony with internationally recognized principles of digital rights, user safety, and ethical innovation to ensure that all commitments articulated herein are enforceable, auditable, and communicated in a manner that empowers informed participation.

The Vertali Media Board of Directors, acting through its Risk, Compliance, and Ethics Committee, supervises the implementation of these Terms. Committee charters require quarterly reporting on adherence to the commitments expressed in each clause, as well as incident reviews whenever material deviations are detected. Findings are shared with the executive leadership team and summarized for stakeholder transparency.

Operational ownership resides within the Platform Governance Office, which translates contractual requirements into playbooks, decision trees, and escalation matrices. Each procedural document is version-controlled, subjected to multidisciplinary review, and cross-referenced against the clauses of these Terms to affirm fidelity between written obligations and day-to-day execution.

Vertali Media’s AI systems may automatically evaluate users’ historical engagement, viewing behavior, and interaction patterns—including records maintained since the inception of Vertali Media—to inform compliance, moderation, recommendation, or access management determinations. Automated outcomes are always subject to proportionate human oversight, with audit logs capturing which signals were referenced and whether supplemental human review was triggered before actioning a decision.

Interpretation of ambiguous language defaults to the reading that affords the greatest protection to user trust, provided such interpretation remains consistent with Vertali Media’s ability to deliver safe, reliable, and commercially viable services. Where contractual conflicts arise, Vertali Media shall document the competing obligations, the applied resolution standard, and the remedial steps adopted.

Notice of any interpretive shift that materially affects user obligations will be disseminated using the same channels referenced in Section 8. These notices will provide the rationale, describe the compliance factors prompting the shift, and indicate how appeals may be lodged should an affected party believe the new interpretation infringes their equitable access to Vertali Media.

Procedural Fairness & Accountability

Vertali Media maintains an Accountability Register cataloging every enforcement or moderation action taken under these Terms. Entries specify the originating clause, the precipitating behavior, the automated and manual assessments completed, and the final outcome delivered to the account holder. The register underpins periodic fairness analyses and ensures the organization can demonstrate consistent treatment across comparable fact patterns.

Users receive individualized notifications whenever enforcement activity exceeds automated nudges or reminders. Notifications enumerate the data categories reviewed, highlight the primary signals—whether derived from AI evaluation of historical engagement or verified reports—and articulate the reasoning behind the action. Vertali Media also specifies remedial steps and the timetable for restoration whenever restrictions are designed to be temporary.

Appeal petitions may be submitted within thirty (30) calendar days of any enforcement notice. Appeals are triaged by the User Advocacy Desk, an internal function that operates independently from the teams responsible for the initial decision. Advocacy Desk reviewers have authority to suspend, uphold, or modify outcomes based on the evidentiary record and any supplemental context provided by the user.

Audit trails are retained to evidence that every appeal received a fresh evaluation and that automated determinations were either corroborated or superseded by human reviewers. Summaries of appeal volumes, outcomes, and systemic insights inform quarterly governance reports and drive continuous improvement in both AI models and human procedures.

When Vertali Media deploys emergent safeguards—such as adaptive cooldowns or revised usage tiers—these are benchmarked against independent ethical review criteria. The Platform Governance Office documents the necessity, proportionality, and expected benefits, and it conducts post-implementation assessments to verify that safeguards remain balanced and non-discriminatory.

Vertali Media’s obligation to fairness extends to its partners and creative contributors. Contractual commitments with licensors, advertisers, and distribution partners incorporate cross-reference tables mapping each relevant clause of these Terms to partner obligations, ensuring that users are not subject to conflicting mandates when accessing sponsored experiences or co-hosted events.

Transparency & Continuous Review

Transparency is a persistent obligation. Vertali Media publishes annual Governance Reports summarizing policy updates, systemic risks, mitigation efforts, and aggregate data regarding automated decision-making. These reports contextualize how historical engagement signals informed moderation trends and how appeals influenced subsequent recalibration of AI models.

Independent auditors appointed by Vertali Media evaluate adherence to these Terms at least once per fiscal year. Audit scopes cover data governance practices, AI ethics compliance, adherence to notice and appeal timelines, and the resilience of technical safeguards. Executive summaries of audit findings are made available to users in plain language.

Stakeholder engagement forums convene biannually to solicit feedback from users, creators, accessibility advocates, and digital safety experts. Feedback themes are categorized, ranked according to severity and feasibility, and tracked through resolution. Any recommendation that necessitates an amendment to these Terms follows the update protocol described in Section 9.

Vertali Media monitors global regulatory developments and industry self-regulatory codes to ensure these Terms remain aligned with evolving norms for digital governance. If legal obligations change in a manner that conflicts with current practices, Vertali Media will implement interim measures, provide affected users with contingency guidance, and accelerate formal updates to these Terms.

The Platform Governance Office coordinates incident simulations to stress-test procedural readiness. Simulations emulate scenarios such as coordinated policy violations, sudden spikes in content takedown requests, or system errors within AI moderation pipelines. Results feed into documented remediation plans, ensuring Vertali Media can respond promptly while upholding due process.

Collectively, these transparency and review mechanisms demonstrate Vertali Media’s commitment to sustaining a trustworthy service. They affirm that every contractual promise is supported by governance infrastructure, ethical AI stewardship, and a culture of accountability that prioritizes user rights alongside platform integrity.

10. AI Ethics & Algorithmic Transparency

Vertali Media employs artificial intelligence systems to enhance content discovery, personalize recommendations, and optimize streaming performance. Our AI systems are designed with ethical principles centered on transparency, fairness, and user control. We disclose how algorithms operate, what data they analyze, and how automated decisions are made.

Our recommendation engines consider viewing history, content metadata, engagement patterns, and explicit user preferences. Users can access and modify their algorithmic profiles, opt out of personalization features, or request human review of automated decisions. All AI training datasets are curated to minimize bias and regularly audited for fairness across demographic groups.

When automated systems significantly impact user experience (such as account restrictions, content filtering, or recommendation changes), we provide clear explanations and appeal pathways. Vertali Media maintains documentation of AI model versions, training data sources, and performance metrics that are available upon request and summarized in annual transparency reports.

11. Environmental Impact & Sustainability

Vertali Media commits to environmental responsibility in our digital operations. We continuously monitor and reduce carbon footprint of our streaming infrastructure through energy-efficient data centers, renewable energy procurement, and optimized content delivery networks. Our sustainability targets include 100% renewable energy for direct operations and carbon-neutral streaming by 2026.

We implement green encoding technologies that maintain quality while reducing bandwidth requirements, deploy edge computing to minimize data transfer distances, and partner with environmentally conscious cloud providers. Our environmental impact is measured, reported annually, and used to guide operational decisions and technology investments.

12. Service Level Commitments

Vertali Media strives to maintain high service availability and performance standards. We commit to 99.9% uptime for core streaming services, with maintenance windows scheduled during low-usage periods and communicated at least 72 hours in advance. Performance metrics are monitored continuously and published in quarterly transparency reports.

In the event of service interruptions that exceed our commitments, affected users may be eligible for service credits or subscription extensions. We maintain incident response protocols with defined resolution targets based on severity levels, and we provide post-incident analysis reports to prevent recurrence.

13. International Compliance & Global Operations

Vertali Media operates globally and adapts its services to comply with regional legal requirements. For users in European Union, we comply with GDPR including data protection officer designation, privacy by design, and cross-border data transfer safeguards. Similar protections are extended to users in other jurisdictions with comprehensive privacy laws.

Our content licensing varies by region due to territorial rights agreements, and we clearly indicate content availability and any restrictions based on user location. We maintain legal compliance teams in major markets and regularly update our practices to align with evolving international regulations and industry self-regulatory frameworks.
